Cadence Terms & Conditions

1. Acceptance of Terms

By downloading, installing, creating an account, or otherwise using the Cadence application and related services, operated by Motive Labs, you agree to be legally bound by these Terms & Conditions and our Privacy Policy.

2. Definitions

“Content” means any text, images, data, journal entries, check-ins, or other materials you create, submit, or store through the Service.

“AI Features” means AI-powered functionality, including Cadie, SparQ, and Compass insights.

“Health Data” means data read from Apple Health / HealthKit or Health Connect, including steps, sleep, heart rate, and body-fat percentage.

“Service” means the Cadence application (iOS and Android), its web interface, APIs, and all related services.

3. Eligibility

You must be at least 13 years of age, or the minimum age of digital consent in your jurisdiction, to use Cadence.

4. Account Registration & Security

You must provide accurate and complete information when creating an account and are responsible for safeguarding your credentials.

5. Acceptable Use

You agree not to misuse the Service, attempt unauthorized access, reverse engineer the app, upload malicious code, violate law, or resell access.

6. Health & Wellness Disclaimer

Cadence is not a medical device and does not provide medical advice, diagnosis, or treatment. All insights, scores, and AI-generated content are for informational and personal-reflection purposes only.

7. AI-Powered Features

AI-generated content may contain inaccuracies or errors and is not a substitute for professional counseling, therapy, or medical advice.

8. User Content & License

You retain ownership of your content. You grant Motive Labs a limited license to store, process, and display your content solely to provide and improve the Service for you.

9. Intellectual Property

All rights, title, and interest in the Service, including design, software, branding, and content, belong to Motive Labs or its licensors.

10. Subscriptions, Payments & Refunds

Certain features of Cadence require a paid subscription or in-app purchase. Payments are processed through the Apple App Store or Google Play Store. Cadence never directly collects or stores your payment information. You may cancel your subscription through your device’s subscription-management settings.

11. Termination

You may delete your account at any time through Profile → Account Settings → Delete Account. We may suspend or terminate accounts that violate these Terms or pose a security risk.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOTIVE LABS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT PAID IN THE PRECEDING 12 MONTHS OR $100 USD.

14. Indemnification

You agree to indemnify and hold harmless Motive Labs from claims arising out of your use of the Service, your violation of these Terms, or your submitted content.

15. Dispute Resolution & Arbitration

Before formal proceedings, you agree to attempt informal resolution by contacting contact@motivelabs.us. If unresolved, disputes are subject to binding arbitration administered by the AAA under its Consumer Arbitration Rules, seated in Delaware. You waive participation in class actions.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States.

17. General Provisions

These Terms and the Privacy Policy constitute the entire agreement between you and Motive Labs regarding the Service.

18. Changes to These Terms

We may modify these Terms at any time and will notify users of material changes.
